MASTER SERVICES AGREEMENT
This Master Services Agreement (the Agreement) is entered into as of the Effective Date by and between Northbridge Holdings, Inc. (Customer) and Helix Cloud Services, Inc. (Provider).
1. TERM. This Agreement commences on the Effective Date and continues for an initial term of twenty-four (24) months (the Initial Term).
3. FEES. Customer shall pay an annual fee of eighty-four thousand dollars ($84,000), invoiced yearly in advance.
7.2 AUTO-RENEWAL. At the end of the Initial Term, this Agreement renews automatically for successive twelve (12) month periods unless either party gives written notice of non-renewal at least forty-five (45) days prior to the end of the then-current term.
12.4 LIMITATION OF LIABILITY. Each party's aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by Customer in the twelve (12) months preceding the event giving rise to the claim.
19.1 GOVERNING LAW. This Agreement is governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-laws rules.
